1. Who we are

Midwaver is a service run by Odiono Ltd, a company registered in England and Wales (company number 11473281), with its registered office at 20-22 Wenlock Road, London, England, N1 7GU. In these terms, "we", "us" and "Midwaver" mean Odiono Ltd, and "you" means the person or business using Midwaver.

Midwaver helps businesses see whether AI tools such as ChatGPT, Perplexity and Google AI Overviews mention or recommend them, and suggests ways to improve. You can reach us at support@midwaver.com.

2. Your account

You must be at least 18 and be using Midwaver for business purposes. You need an account to use Midwaver, and you must give accurate details when you sign up.

Keep your login details safe. You are responsible for everything that happens under your account, so tell us straight away at support@midwaver.com if you think someone else has got in. If you sign up on behalf of a company, you confirm you have the authority to accept these terms for it.

3. Free trial

New accounts get a 7-day free trial. The trial includes up to 10 tracked prompts and access to all features. You do not need a credit card to start.

When the trial ends, you will be asked to choose a paid plan to keep tracking. Your data is saved, but daily checks are paused until you choose a plan. We may change or withdraw the free trial at any time, and it is limited to one per business.

4. Plans, prices and billing

Midwaver is sold as a subscription on three plans (Starter, Growth and Pro), billed monthly or yearly. Each plan sets how many businesses, tracked prompts and competitors you can track. The current prices and limits are shown on our pricing page, in pounds, euros or US dollars.

• Payments are taken by card through Stripe. Your subscription renews automatically at the end of each billing period until you cancel.

• Yearly plans are billed once a year in advance.

• Tax is calculated and collected at checkout where it applies. Payments are handled by our payment provider, which may act as the seller of record.

• We may change our prices. We will tell you at least 30 days before a change takes effect, and it applies from your next renewal.

5. Cancelling and refunds

You can cancel at any time from your account settings in the app or through the Stripe billing portal. Your plan stays active until the end of the period you have paid for, then it will not renew. You will not be charged again.

We do not offer refunds, including for part-used months or years, so please cancel before your renewal date if you do not want to continue. This does not affect any rights you have under consumer law that cannot be excluded.

If you cancel, you keep access to your data until the end of your paid billing period. If you delete your account or a business, we delete that data straight away and it cannot be recovered.

6. Acceptable use

Use Midwaver fairly and lawfully. You must not:

• use it to break the law or anyone else's rights

• try to get into other people's accounts or our systems, or interfere with how the service runs

• scrape, copy, resell or share access to Midwaver or its data without our permission

• use automated tools to overload the service, or try to get around plan limits

• track a business you have no connection to or permission to monitor, for example to harass or mislead people

We may suspend or close an account that breaks these rules.

7. AI results and what we do not promise

Midwaver checks what ChatGPT, Perplexity and Google AI Overviews say in answer to the prompts you track. AI tools can give different answers to different people at different times, and we do not control them. Our results show what we saw when we ran the check, not what every person will see.

Our suggestions are there to help you improve your visibility, but we cannot promise you will be mentioned, recommended, ranked higher or win more customers or website traffic. Midwaver is not legal, financial or marketing advice.

Midwaver is not connected to or endorsed by OpenAI, Perplexity or Google. Their names are used only to describe what we check.

8. Your data and our rights

You own the information you put into Midwaver, such as your business details, prompts and competitors. You give us permission to use it to run the service for you.

We own Midwaver, including the software, design and the reports and results it produces. While you have an active plan, you may use it for your own business or, on the Pro plan, for the businesses you manage. You may share reports and exports with your team and clients.

We do not sell your data and we do not use it to train AI models. We may use anonymous, combined data that does not identify you to improve Midwaver. Our Privacy Policy explains how we handle personal data.

9. Availability and support

We work hard to keep Midwaver running and accurate, but we cannot promise it will always be available or error free. Checks may occasionally be delayed or fail because of problems with the AI tools or other services we rely on. We may update, change or pause parts of the service. 10. Our liability

Nothing in these terms limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence.

Otherwise, we are not liable for lost profit, lost business, lost customers, lost data or any indirect loss. Our total liability to you for all claims relating to Midwaver is limited to the amount you paid us in the 12 months before the claim arose.

11. Ending your use

You can stop using Midwaver at any time. We may suspend or end your access if you break these terms, do not pay, or use the service in a way that harms us or others. If we do this, we will tell you why where we reasonably can.

12. Changes to these terms

We may update these terms from time to time. If we make a significant change, we will tell you by email or in the app before it applies. If you keep using Midwaver after the change, you accept the new terms.

13. Governing law

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, unless the law where you are based gives you the right to go to your local courts.
